General conditions
1. Scope of application
These general terms and conditions of sale apply to all sales of services provided by FM Engineering Consulting. Their purpose is to define the conditions under which FM Engineering Consulting provides its services, as well as the rights and obligations of each party.
2. Orders and quotes
Any request for the provision of services must be made in writing, by e-mail or by post, and will be followed by a quote. This quote is valid for a period of 30 days from its date of issue. Any order constitutes acceptance of this quote and these general terms and conditions of sale.
3. Payment terms
Payment for services is required at 30% upon ordering and 70% upon delivery of the service. Payment can be made by bank transfer or online payment.
4. Delivery times
The delivery times for services are indicated in the quote. They are given for information purposes only and are not contractual. FM Engineering Consulting shall not be held liable for delays in the performance of services due to circumstances beyond its control.
5. Intellectual property
The intellectual property rights attached to the services provided by FM Engineering Consulting are the exclusive property of FM Engineering Consulting, unless expressly stated otherwise in the quote. The client undertakes not to copy, reproduce, distribute or exploit the services without the prior written consent of FM Engineering Consulting.
6. Liability
FM Engineering Consulting undertakes to perform the services in accordance with the rules of the art and current practices. Under no circumstances shall FM Engineering Consulting be held liable for indirect damages suffered by the client, such as loss of data, commercial damage or loss of profits.
7. Termination
In the event of non-payment of the amounts owed by the client, FM Engineering Consulting may terminate the order automatically and without notice. In the event of non-compliance with contractual obligations by the customer, FM Engineering Consulting may also terminate the order automatically and without notice, without prejudice to any damages.
8. Confidentiality
FM Engineering Consulting undertakes to respect the confidentiality of the information communicated by the customer in the context of the provision of services. FM Engineering Consulting may not under any circumstances disclose this information to third parties without the prior written consent of the customer.
9. Applicable law and competent jurisdiction
These general terms and conditions of sale are governed by French law. Any dispute relating to their interpretation or execution will be subject to the exclusive jurisdiction of the French courts.
